Alongsidetheoutgoingadministration’sspateofexecutiveorders andlast-minuterulemaking,theFederalTradeCommission(FTC)suedPepsionFridayforprovidingpromotionalpaymentstoanunnamedbig-boxretailer.TheCommissionclaimsPepsi’sconductviolatestheRobinson-PatmanAct(RPA),a1936lawthatoutlawspricediscrimination.DissentingcommissionersMelissaHolyoakandAndrewFergusonregardthemajority’sargumentastorturedandtendentious. Inaheavilyredactedstatement,FTCChairLinaKhanallegesthatPepsiunfairlyadvantagesonelargeretailerbyprovidingitwithpromotionalallowancesandservicessuchasadvertisingbudgetsandsignage.KhancontendsthatPepsi’sconductviolatesSections2(d)and(e)oftheRPA,whichprohibittheprovisionof“servicesorfacilitiesconnectedwiththeprocessing,handling,[or]sale…upontermsnotaccordedtoallpurchasersonproportionallyequalterms.” Inotherwords,shebelievesyoucanviolatetheRPAbyprovidingadvertisingbillboardsforabig-bo
